DRAFT for attorney review. [Bracketed items need your confirmation.]
1. What this is
This is an agreement between you ("Restaurant") and Conejo Meals ("we"). By checking the box, you confirm you are authorized to bind the Restaurant.
2. Free listing in exchange for honoring certificates
Listing is free. We promote your Restaurant, and in return you agree to honor every Conejo Meals certificate presented at your Restaurant.
3. Honoring certificates
Guests claim a deal on the day they use it, and each certificate is good for that day only. You will honor every valid certificate presented that day, during your posted hours, for the credit shown, subject only to the minimum spend, dine-in/pickup option, and off-peak rule shown on it. The minimum spend is calculated before tax and tip, and alcohol counts toward it. Certificates tell guests to tip on the full pre-discount total. Treat certificate holders like any other guest, add no fees, and require no purchase beyond the stated minimum.
4. Off-peak minimum
If your deal includes the off-peak incentive, the minimum spend is 20% lower when a dine-in guest is seated, or an ASAP pickup order is placed, before 5:45 pm or after 8:15 pm [grace period of __ minutes: confirm]. Pickup orders scheduled for a later time use the regular minimum. If you chose "Off-peak hours only," your deal applies only during those hours.
5. Redemption
Redeem certificates by scanning the QR code or entering the order number in the Conejo Meals merchant app: at seating for dine-in, and when the order is placed for pickup. Each certificate can be used once.
6. Turning your deal on or off
You may edit, pause, or turn off your deal at any time, including the same day. You set a daily limit on dine-in certificates, which you can change any day. Changes apply to deals claimed afterward; deals already claimed that day must be honored.
7. Money
[Confirm] We collect and keep certificate purchase prices. The guest pays you the check minus the certificate credit. We charge you no fees. Unused certificates expire at midnight and we convert them to Conejo Meals credit for the guest; you owe the guest nothing. You are responsible for sales tax [confirm how tax applies to discounted checks].
8. Your information
You will give accurate information, hold all required licenses and permits, and follow food-safety laws. You grant us permission to use your name, logo, photos, and description to promote your listing.
9. Ending this agreement
Either party may end it at any time by written notice (email is fine). Your duty to honor certificates already claimed continues.
10. Liability
We do not guarantee traffic or sales. You are responsible for your food, service, and premises. Our liability is limited to the extent the law allows [attorney to draft].
11. General
California law applies [confirm venue]. We may update these terms with notice; updates do not affect certificates already claimed.
